Here’s something I’ve noticed when talking to executives across industries. When an AI project goes wrong, the first call is always that the AI transformation is a problem of governance. What happened to the model? Why did the system do that? Is there a bug?

And the tech team usually has the same answer. The model did exactly what it was trained to do. There’s no bug. It worked as designed.

That’s when the real problem becomes visible.

No one decided who was responsible for determining whether the model should be designed that way. No one owned that question. So no one answered it. The model shipped, something went wrong, and now everyone is staring at each other in a conference room, wondering whose fault it is.

That’s a governance failure. Not a technology failure.

Gartner estimates that 60% of AI projects will miss their value targets by 2027. A February 2026 survey of 1,735 executives by AICPA and CIMA found that most organizations don’t have the governance readiness to deploy AI well, even when the technology itself is ready. Over 35% of generative AI initiatives from the past two years have already been abandoned or quietly shelved after the pilot stage.

Governance is one of those words that makes people’s eyes glaze over. So let me strip it down.

Governance means someone decided who makes the call. And if the call goes wrong, someone is on the hook for it.

In the context of AI, that comes down to four questions. Who decides what data the model can use? Who approves it before it goes live? Who watches it after it’s running? And who can actually shut it down when something goes wrong?

If your organization can’t answer those with names rather than team titles, you don’t have governance. You have assumptions. And assumptions, in AI deployments, have a way of turning into incidents.

A 2025 National Association of Corporate Directors survey found that 62% of boards now hold regular conversations about AI. Only 27% have formally added AI governance to their committee charters. That gap between talking about something and actually owning it is exactly where most AI governance failures live.

Traditional software behaves predictably. A spreadsheet application works the same way on Monday as it does on Friday. AI systems are fundamentally different.

The pattern is consistent. Ownership at the top produces results. Delegation without ownership produces exposure. Companies where senior leadership actively shapes AI governance get significantly more business value than those that push governance responsibility down to technical teams, a finding consistent across Deloitte’s 2026 State of AI in the Enterprise report.

Five Decisions That Have to Be Made Before You Ship

Before any AI system goes into production, five decisions need to be made out loud, with names attached. Not implied. Not assumed. Not delegated to whoever happens to be closest to the code.

1. Who Owns the Data?

What data is this model using? Who has the right to it? Is the way it’s being used consistent with how it was collected? Does it include personal data that falls under GDPR, CCPA, or something sector-specific? This isn’t a question the data team can answer alone. It needs legal, compliance, and the actual data owner in the room before training begins. Not after.

2. Who Approves It Before It Goes Live?

Without a formal approval process, a model goes live when the person building it thinks it’s ready. That person might be excellent at their job. They still shouldn’t be the only gate. You need a defined sign-off. What evidence is required? Who reviews it? Where is the decision documented? Organizations that run this well do it in five to ten business days with a clear checklist.

3. Who Monitors It After Launch?

Models change over time because the world changes. Data distributions shift. User behavior shifts. A model working well on day one can be doing real harm on day 300, and nobody catches it because nobody was assigned to look. Trustmarque’s 2025 AI Governance Report found that fewer than one in ten organizations integrate AI risk reviews into their deployment pipelines.

4. Who Has the Authority to Shut It Down?

If the model starts producing harmful outputs, who can take it offline? Not what team. What person, specifically? And can that person act quickly, outside of business hours, without needing a chain of approvals that takes days? Most organizations don’t have a clear answer. That’s a gap that regulators will eventually find.

5. Who Communicates About It?

Who tells employees that this tool is being used in their work? Who tells customers? What disclosures does the law require? Who handles complaints? AI transparency requirements are getting stricter and more specific. Organizations that get ahead of this spend a fraction of what organizations spend retrofitting it after a disclosure failure.

What the Regulations Actually Say

You can build solid governance without being a regulatory expert. But it helps to know what’s now actually enforceable.

The EU AI Act Is No Longer Upcoming

The EU AI Act is live. High-risk AI systems, including anything touching employment decisions, credit, healthcare, law enforcement, and critical infrastructure, now require conformity assessments, human oversight mechanisms, and documentation before deployment in the EU market. Fines reach 35 million euros or 7% of global annual revenue, and the regulation applies to companies outside the EU if they’re selling into the EU market.

The NIST AI Risk Management Framework

The NIST AI RMF is a US voluntary framework built around four functions: Govern, Map, Measure, and Manage. Governance is listed first because NIST is explicit that governance is the prerequisite. You can’t map, measure, or manage AI risk in any reliable way without first establishing who is accountable for what.

US State Laws and Sector Rules

In 2025, over 1,100 AI-related bills were introduced across the US states. Texas, Colorado, and California have already passed laws covering AI disclosure, bias prevention, and risk management. Layer on top of that the federal sector requirements:

•       FDA guidance for clinical AI tools

•       FTC and EEOC scrutiny on AI used in hiring

In some jurisdictions, board members now carry personal fiduciary liability for AI failures. This is not a future concern.

What Good Governance Actually Looks Like

Good governance isn’t a thick policy document that lives on a shared drive. It’s a small number of structures that people actually use.

Three Levels of Ownership

Governance needs to exist at all three levels, and they need to talk to each other. When only the technical team governs, you get models that perform well but have no organizational accountability. When only the executive team governs, you get policy documents disconnected from production.

An Inventory of What You’re Running

You can’t govern what you can’t see. Deloitte found that worker access to AI tools rose 50% in 2025, and the number of companies with 40% or more of their AI projects in production is set to double within six months. Key inventory items for every AI system:

•       Data sources and consent basis

•       Named owner and approved date

•       Current monitoring status and last review date

A Cross-Functional Review Before Launch

Before any model goes live, the review needs to include more than data scientists. Legal, compliance, ethics, and the affected business unit all need to weigh in. A well-run cross-functional review takes five to ten business days. What it adds is organizational accountability that technical review alone can’t provide.

Real Monitoring and a Clear Escalation Path

Someone needs to be assigned to watch the model after launch. There needs to be defined thresholds that trigger a review, and a named person who acts when those thresholds are hit. A Gartner poll of over 1,800 executives in 2025 found that 55% of organizations now have an AI oversight committee. A committee that meets quarterly is not the same as a monitoring mechanism that catches problems in real time.

A Culture Where Raising Concerns Is Safe

All of the structures above break down if people are penalized for raising concerns. Leaders have to make it genuinely safe to push back on a deployment, to flag a risk, to ask for more time. Companies that establish governance before scaling AI deploy three times faster and succeed 60% more often than organizations that treat governance as an afterthought.

The Next Wave Is Already Here: Agentic AI

Everything above mostly assumes a model that produces an output, a human reviews it, and then something happens. That model of AI is already becoming outdated. Agentic AI systems take sequences of autonomous actions — they search the web, write and execute code, send emails, interact with APIs, and make decisions across multi-step tasks without a human reviewing each step.

Deloitte’s 2026 report found that only one in five companies has a mature governance model for autonomous AI agents, even as agentic AI adoption is set to rise sharply. The table below shows how every governance question becomes harder with agentic systems.

Where This Leaves You

AI transformation is not primarily a technology challenge. It’s an organizational one.

The technology is there. It’s scalable, it’s improving, and it’s accessible. What’s lagging is the organizational structure to use it well.

AICPA and CIMA’s February 2026 global survey found that AI-transformed organizations are nearly twice as prepared across talent, technology, and regulatory readiness compared to slower adopters. That readiness gap is already visible. In two years, it will be very obvious.

The leaders who get governance right early build AI programs that actually stick. They’re not spending energy managing incidents or scrambling to prove regulatory compliance after the fact. They move faster because they front-loaded the work that others skip.

Before your next model ships, answer the five questions. Assign the names. Build the process. Do it once and do it right.

AI transformation is a governance problem. It always has been. Treat it like one from day one.
